{"id":88344,"date":"2025-03-06T12:23:25","date_gmt":"2025-03-06T11:23:25","guid":{"rendered":"https:\/\/ru.law\/?p=88344"},"modified":"2025-03-06T13:10:40","modified_gmt":"2025-03-06T12:10:40","slug":"bundesgerichtshof-vereinbarung-zur-maklerprovision-insgesamt-unwirksam","status":"publish","type":"post","link":"https:\/\/ru.law\/nl\/bundesgerichtshof-vereinbarung-zur-maklerprovision-insgesamt-unwirksam\/","title":{"rendered":"Federale Hof van Justitie: Overeenkomst over bemiddelingscommissie volledig ongeldig"},"content":{"rendered":"<p><strong>Vonnis van 6 maart 2025 \u2013 I ZR 138\/24<\/strong><\/p>\n\n\n\n<p>De Eerste Civiele Senaat van het Federale Gerechtshof (BGH), dat verantwoordelijk is voor het makelaarsrecht, heeft geoordeeld dat een regeling die de koper van een onroerend goed verplicht de volledige bemiddelingskosten te betalen, in strijd is met het beginsel van de 50\/50-verdeling zoals vastgelegd in artikel 656d van het Duitse Burgerlijk Wetboek (BGB) en daarom nietig is. Dit geldt vooral als de makelaar uitsluitend voor de verkoper heeft gewerkt.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-sachverhalt\">feiten<\/h2>\n\n\n\n<p>De eisers hebben een twee-onder-een-kapwoning gekocht, waarbij de verkoper het gedaagde makelaarskantoor heeft ingeschakeld om de verkoop te bemiddelen. De overeengekomen bemiddelingskosten bedroegen \u20ac 25.000. De oorspronkelijke aankoopprijs werd met dit bedrag verminderd. Tegelijkertijd hebben eisers zich ertoe verbonden om aan de makelaar een honorarium van hetzelfde bedrag te betalen, dat is betaald na notari\u00eble certificering van het koopcontract. De verkoper heeft geen betaling gedaan. De eisers eisen nu terugbetaling van het betaalde bedrag.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-verfahrensverlauf\">verloop van de procedure<\/h2>\n\n\n\n<p>De rechtbank heeft de vordering volledig toegewezen. In hoger beroep oordeelde het Oberlandesgericht (OLG) echter dat de gedaagde slechts \u20ac 12.500,- hoefde terug te betalen. Beide partijen gingen tegen dit vonnis in hoger beroep: de eisers eisten volledige terugbetaling, terwijl de gedaagde verzocht de vordering in zijn geheel af te wijzen.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-entscheidung-des-bgh\">beslissing van het Federale Hof van Justitie<\/h2>\n\n\n\n<p>Het Federale Hof van Justitie vernietigde het vonnis van het Oberlandesgericht en herstelde het vonnis in eerste aanleg. Dit betekent dat de vordering tot terugbetaling van de volledige bemiddelingsvergoeding werd toegewezen.<\/p>\n\n\n\n<p>Volgens het BGH is artikel 656d van het Duitse Burgerlijk Wetboek (BGB) niet alleen beperkt tot overeenkomsten tussen de contractpartijen bij een koopovereenkomst voor onroerend goed. De norm heeft betrekking op elke contractuele bepaling die de makelaar een vordering tot betaling of terugbetaling verleent tegen een partij bij het koopcontract die zelf geen contractuele partner van de makelaar is. Hieronder vallen ook overeenkomsten die de koper verplichten de makelaarscourtage te betalen, ook al heeft hij de bemiddelingsovereenkomst niet zelf gesloten.<\/p>\n\n\n\n<p>Doorslaggevend was dat de verkoper feitelijk geen betaling deed, terwijl hij formeel wel verplicht was de bemiddelingskosten te betalen. Omdat de eisers feitelijk de volledige bemiddelingsvergoeding voor hun rekening namen, is het beginsel van \u00a7 656d lid 1 zin 1 van het Duitse Burgerlijk Wetboek (BGB) geschonden. Een gedeeltelijke instandhouding van de overeenkomst was niet toegestaan, waardoor de gehele overeenkomst nietig is. De eisers hebben derhalve recht op volledige terugbetaling van de betaalde \u20ac 25.000,- conform artikel 812 lid 1 zin 1 zaak 1 van het Duitse Burgerlijk Wetboek (BGB).<\/p>\n\n\n\n<p><\/p>","protected":false},"excerpt":{"rendered":"<p>Het Federale Hof van Justitie heeft geoordeeld dat een overeenkomst waarbij de koper van een onroerend goed de volledige bemiddelingskosten voor zijn rekening neemt, in strijd is met artikel 656d van het Duitse Burgerlijk Wetboek (BGB) en daarom in zijn geheel nietig is.
